PRODUCT SALES CONTRACT
This Product Sales Contract (“Contract”) is made and entered into between:Party A: [Company Name], with its registered address at [Address], [City], [Country], represented by [Name], authorized signatory, hereinafter referred to as “Seller”;Party B: [Company Name], with its registered address at [Address], [City], [Country], represented by [Name], authorized signatory, hereinafter referred to as “Buyer”.
WHEREAS, the Seller agrees to sell and deliver the products to the Buyer in accordance with the terms and conditions set forth in this Contract.
NOW, THEREFORE, based on the mutual promises and covenants set forth herein, the parties agree as follows:
1. Subject MatterThe Seller agrees to sell and deliver the products specified in Exhibit A hereto (the “Products”) to the Buyer.

5. Intellectual Property5.1 The Seller retains all intellectual property rights in the Products.5.2 The Buyer shall not reproduce, modify, distribute, or sell the Products without the prior written consent of the Seller.
6. Confidentiality6.1 The Buyer shall keep all confidential information received from the Seller confidential and shall not disclose such information to any third party without the prior written consent of the Seller.
7. Compliance with Law7.1 The Buyer shall comply with all applicable laws, regulations, and requirements of the country of import and export related to the purchase, sale, and use of the Products.
8. Termination8.1 Either party may terminate this Contract by written notice to the other party if the other party breaches any material term or condition of this Contract and fails to remedy such breach within [Insert number] days after receipt of written notice describing such breach.
9. Governing Law and Jurisdiction9.1 This Contract shall be governed by and construed in accordance with the laws of the People’s Republic of China.9.2 Any disputes arising out of or in connection with this Contract shall be submitted to the [Insert jurisdiction] for resolution.
