国际销售独家代理合同协议
双方同意以下内容：
第一条：委任与接受
在本协议有效期内，卖方指定代理商为本协议第四条项下商品的独家代理商。代理商同意在第三条所规定的区域内招揽顾客的订单，并接受上述委任。
第二条：代理范围
代理商有权在卖方指定的区域内销售和推广本协议第四条项下商品，并为此目的使用卖方的商标、名称和其他知识产权。代理商不得在卖方指定区域以外销售或推广该商品。
第三条：区域范围
卖方指定的区域为 。在本协议有效期内，卖方不得在该区域内向其他人或公司销售本协议第四条项下商品。
第四条：商品
本协议所指商品为 。卖方应当在合理的时间内向代理商提供商品的详细信息，以便代理商更好地推销该商品。
第五条：价格与付款方式
商品价格由卖方制定。代理商可按照卖方规定的价格向顾客销售商品，并按照约定的方式向卖方支付货款。
第六条：销售记录和报告
代理商应当及时向卖方提供销售记录和报告，包括但不限于销售数量、销售额、库存情况等。
第七条：保密条款
双方同意在本协议有效期内和协议终止后继续保守商业秘密，并承诺不向第三方透露有关本协议的任何信息。
第八条：协议终止
本协议有效期为 年。在协议期满前，双方如需终止本协议，应当提前 个月书面通知对方。如一方违反本协议条款，另一方有权立即终止本协议。
第九条：争议解决
因本协议引起的或与本协议有关的任何争议，双方应当友好协商解决。如协商不成，任何一方均可向有管辖权的法院提起诉讼。

本协议未尽事宜，双方可另行协商，并以书面形式作出补充协议，补充协议与本协议具有同等效力。
