Exclusive Agency Agreement

生产商: (以下简称“甲方”)

甲乙双方经友好协商，本着平等互利原则，特订立本协议。

This Agreement is entered into by and between the two parties in consideration of equality and mutual benefits.

1.定义Definition

1.1“协议”是指双方签订的本代理协议，包括协议的附件以及修改和增补文本。

“Agreement” shall mean this agreement, including the appendix, revise and supplement to this agreement.

1.2“代理区域”是指***

1.3“经销期限”是指2020年6月1日起5年，期满自动延期

“Term of the agreement” shall mean an initial term of 5 years from the date Jun.01.2020, and thereafter extend automatically for successive periods.

2.授权Grant of Rights

依照本协议条款，甲方授权乙方，乙方接受，经销产品在区域内独家经销权。

Subject to the terms and conditions of the Agreement, Part A grants to Part B, and Part B accepts, the exclusive right to market Product in the Territory.

3.甲方义务Obligation of Part A

3.1甲方保证其产品均依据GMP标准生产，符合相关的法律规定

Part A warrants that the Product will be produced according to international GMP rules and regulations and in accordance with all other applicable laws.

3.2甲方负责按时交货。除非经双方书面确认，最长交货期不得超过30天。、

Part A warrants timely delivery. Except agreed by both parties in written, the leading time should not excess 30 days.

3.3甲方据需要提供与产品相关的可公开的技术信息给乙方，并全力配合乙方客户对甲方工厂的审计工作。

Part A should provide Part B free of charge public technical information related to product as may be necessary in Territory, and provide, at the request of Part B, all the possible support for audit required by authority or clients from the Territory.

3.4在本协议有效期内，甲方不得直接或间接通过乙方以外的渠道向区域客户销售或出口本协议所列产品，否则视同违约。如果有区域市场的任何公司或个人联系甲方购买其生产的产品，甲方将把该客户转给乙方进行联络合作

Part A and its affiliated companies shall sell, supply, or offer the Product exclusive to Part B, and shall not directly or indirectly to any companies or clients in the Territory. Should any company or individual from the Territory contact Part A for the Product, Part A will refer this company to contact Part B.

3.5甲方对供应产品价格对外保密。

Part A warrants the supply price to Part B is confidential.

4.乙方义务Obligation of Part B

4.1乙方在协议有效期内不可以任何方式从甲方以外其他中国供应商处购买协议的代理产品。

During the term of this Agreement, Part B shall purchase the Product for the Territory exclusively from Part A in accordance with the terms of this Agreement.

4.2乙方应向甲方提交书面订单进行采购

Part B shall submit formal purchase orders to Part A in writing.

4.3乙方在促销活动材料上以生产商的形式注明甲方的名称和标志时，应取得甲方的书面同意

Part B shall get written approval from Part B, to use the name or logo of Part A as manufacturer in the promoting materials.

4.4乙方有义务每三个月就当前市场情况及消费者意见提供详细报告给甲方，一旦有特殊市场变动，乙方也应即时向甲方提供书面详情报告。

Part B shall provide a market report per 3 months to Part A in summary of market situation and feedback from clients in the territory. Part B shall also provide Part B a written detail report promptly in case of any special market fluctuation.

5.价格和支付Price and Payment

5.1甲方同意给予乙方相关系列产品具有市场竞争力的人民币价格。

Party A agrees to provide Party B always the competitive price for the product.

5.2 货款支付方式由双方约定

Payment term is to be discussed and accepted by both parties.

6.质量承诺

6.1 甲方承诺供应产品质量标准符合药典及双方确认标准。

Party A shall be responsible for the quality standards of the Product in accordance with the pharmacopoeia and the specification confirmed by both parties.

6.2如因甲方产品质量问题或不能按期交货（排除不可抗力因素导致不能按期交货）引起乙方客户退货、换货，致使乙方违约并蒙受经济损失时，由甲方负责解决，承担退货、换货责任以及由此产生的其他相关损失。

In case of product quality problems or Part A failure to deliver the products on schedule (excluding force majeure factors), Party B’s customers need to return or replace the product which results in economic losses of Party B due to breach of the contract to its customers, Party A shall be responsible for solving the problem and bear the responsibility for the return or replacement of the products and other relevant losses arising therefrom.

6.2如果出现质量纠纷，应由甲乙双方共同认可的第三方专业检验机构检验该产品。如果复检结果不合格，检验费应由甲方承担；如果复检结果合格，检验费应由乙方或其客户承担。

In case of any quality dispute, the product shall be inspected by a third-party professional inspection institution recognized by both parties. If the reinspection result is unqualified, the inspection fee shall be borne by Party A; If the reinspection result is qualified, the inspection fee shall be borne by Party B or its customers in the territory.

7.合約終止Termination

7.1任何一方违反本协议规定，并且不能在收到受损方通知后30天内整改，另一方有权提前终止协议

If the other Party breaches any of the terms of this agreement and fails to remedy such breach within thirty (30) days after notice requiring it to do so the non-breaching Party shall have the right to terminate this agreement.

7.2如果乙方连续两年未能完成协议规定的阶段目标销量的70%，甲方有权单方面终止协议。

Part A shall have the right to terminate this agreement in case of Part B fails to achieve 70% of the sales target set in this agreement for two consecutive years

8.Arbitration仲裁

所有与本协议或协议的执行相关的争端应由协议双方友好解决。如解决未果，双方应提交中国国际经济贸易仲裁委托会上海分会根据其仲裁法规进行解决。仲裁决议将被双方视为最终决议并对协议双方有效。仲裁费用应由仲裁失败一方承担。

All disputes in connection with this agreement or the execution thereof shall be settled by friendly negotiation between the PARTIES. If no settlement can be reached through negotiation, the case in dispute shall then be submitted for arbitration to China International Economic and Trade Arbitration Commission Shanghai Commission in accordance with the arbitration rules of the commission. The decision made by the arbitration shall be final and binding upon the PARTIES. The arbitration expenses shall be borne by the losing PARTY unless otherwise awarded by the arbitration organization.

9.Confidential保密

Both parties agree to keep all confidential information secret during the term of Agreement and successive five years after termination. The confidential information includes but not limited to any technical data, trade & customer information, personal information from customers’ profiles and any other information marked as CONFIDENTIAL.

协议双方同意在协议期间内及协议终止后5年内对所有机密文件保密。此机密文件包括技术资料，客户信息，个人信息等所有被列为机密的信息。

10.Force Majeure不可抗力

协议任何一方不应对由于不可抗力因素所导致的协议条款的未履行或延后履行负责，包括但不限于罢工,任何政府的法规或法律,战争、内乱、破坏生产设施或材料的火灾、地震或风暴,疫情等，被影响方应立即通知另一方,并应采取一切合理措施，尽可能消除其影响。

Neither Party shall be liable or be in breach of any provision of this Agreement for any failure or delay on their part to perform any obligation hereunder because of force majeure or any other cause beyond the control of such Party including without limitation, strikes, regulations or laws of any government, war, civil commotion, destruction of production facilities or material by fire, earthquake or storm, epidemic, provided that such Party shall promptly give notice to the other Party of such occurrence, and shall move to eliminate the effect thereof to the extent possible and with all reasonable dispatch.

11.违约责任

在代理期限内，如果乙方从国内其他生产商采购产品供应上述区域，则乙方将向甲方赔偿采购金额的3倍作为违约金。如甲方直接或间接与上述区域客户联系并签订上述产品出口合同，则甲方将向乙方赔偿合同金额100%的违约金。

During the term of this agreement, if Part B purchases the product from other manufacturers in China to supply Territory, Part B shall compensate Part A 3 times the purchase amount as liquidated damages. If Part A contacts directly or indirectly with the customers in the territory and signs the export contract of the product without written authorization from Part B, Part A will compensate the exporter the liquidated damages of 100% of the contract amount.

12.其他 Others

12.1本合同可能会有修改，仅在双方共同签署下生效。

This contract is subject to modification and shall be effective only when signed by both parties.

12.2本协议的有效性、解释、执行及履行和争议解决应适用中华人民共和国法律。

The validity, interpretation, execution and performance of this agreement and dispute resolution shall be governed by the laws of the People's Republic of China.

12.3此协议一式两份，中英双语，如果中英文有歧义，中文为主。

This agreement is made in duplicate both in English and Chinese. In case of any discrepancy between Chinese and English, Chinese shall prevail.

12.4合同本合同未尽事宜，由甲乙双方协商后制定补充协议。补充协议具同等法律效力。

Contract matters not covered herein shall be covered in a supplementary agreement between Party A and Party B through negotiation. The supplementary agreement shall be regarded as the appendix hereto and shall have the same legal effect.
