Amazon电子商务代运营合作协议
本协议由甲方和乙方于2017年在广东省市签订，旨在实现双方的合作。甲方拥有品牌和商品，乙方负责在Amazon平台上架构搭建、营销推广和双方联合经营的运营模式。
合作期限为两年，自2017年月日起至年月日止。在此期间，甲方不得单独或委托其他第三方服务商在Amazon各站点上开展相关的电子商务活动。
乙方的权利和义务包括：协助甲方在Amazon销售平台上提供运营服务支持、进行产品信息优化、营销推广和数据分析等工作。乙方还负责制定店铺产品的整体营销方案，如店铺内实施的大型促销活动或参加平台内的活动，并在实施过程中与甲方协商达成一致后进行调整。乙方还应为甲方做Amazon店铺托管服务的保密工作，未经允许的情况下，不得将甲方的保密信息资料外泄。在计算机及互联网的特殊性下，乙方应尽快采取积极措施，恢复网店的正常运营。在乙方网络中断时，乙方应及时通知甲方安排人手暂时接管，避免流失客户。
双方应平等合作、互惠互利，共同实现电子商务的成功。
甲方应积极参与乙方的营销推广活动，提供所需的产品信息和资源，并按照乙方的要求及时配合完成相关工作。同时，甲方应当自行承担因营销推广活动而产生的费用和风险，并保证其提供的产品信息真实有效。
3.3乙方的权利与义务
3.3.1技术支持
乙方应为甲方提供Amazon电商平台的技术支持，包括但不限于店铺开设、产品上架、销售分析、数据报表等方面的技术支持。乙方应当及时解答甲方的技术问题，并协助甲方解决技术难题。
3.3.2运营管理
乙方应对甲方的店铺进行全面的运营管理，包括但不限于产品策略、价格策略、促销策略等方面的管理。乙方应根据市场需求和竞争情况，及时调整甲方店铺的运营策略，以提高店铺的销售额和利润。
3.3.3客户服务
乙方应为甲方提供优质的客户服务，包括但不限于客户咨询、订单处理、售后服务等方面的服务。乙方应及时处理客户的问题和投诉，并协助甲方解决客户服务方面的难题。
3.3.4技术服务费和佣金收益
乙方有权按照本协议约定向甲方收取技术服务费和佣金收益，具体收费标准和结算方式详见第四条。乙方应当按照约定及时结算甲方的技术服务费和佣金收益，确保甲方的收益权益。
3.3.5保密义务
乙方应对甲方的商业机密和技术资料等保密，不得泄露或向第三方透露。乙方应当采取必要的措施保护甲方的商业机密和技术资料等，确保其不被泄露或丢失。
3.3.6合规义务
乙方应当遵守相关法律法规和Amazon电商平台的规定，确保甲方店铺的合规运营。乙方应当及时了解并适应Amazon电商平台的政策和规则变化，确保甲方店铺的合规运营。
During the term of the agreement。Party A shall cooperate with Party B's marketing efforts to the best of its ability。invest corresponding marketing and nal expenses based on the actual n of marketing。and work together with Party B to create good sales performance。Party B will submit a n budget n to Party A based on the monthly nal goals and investment。data。and will allocate the n expenses to the project according to the actual nal n。Party B guarantees that this amount will only be invested in the project。and will submit financial statements to Party A for review every month based on the usage。If Party A refuses to provide n expenses to meet the nal needs proposed by Party B。which would have kept the cost and profit basically stable。and as a result。Party B is unable to achieve the sales target。Party B will not be liable for breach of contract for failure to meet the sales target.
3.2.8 nal Contact
Party A shall designate a person responsible for coordinating with Party B on us merce marketing work and assisting Party B in handling after-sales issues such as returns。refunds。and handling complaints from sellers。All travel expenses involved in Party B's n work with Party A shall be borne by Party A.

3.2.9 Exclusive Clause
Party A shall ensure that Party B is exclusively authorized to operate on the Amazon ork platform。and shall not authorize any other third party to operate or sell its branded products without Party B's consent.
Article 4 Technical Service Fee。n e。and Settlement Method
4.1 Technical Service Fee
From the effective date of this agreement。the technical service fee for the contract d is RMB 5,000 per month (five thousand yuan)。with a settlement d of six months。and it shall be remitted to the designated bank account of Party B at the beginning of the semi-annual d.
4.2 Service n
The two parties agree on a certain sales target。which serves as the basis for Party B to charge Party A for service n。Party A must pay Party B's n e according to Article 5 of this agreement after reaching the service n standard.
4.4 Payment Method
Party A shall pay the technical service fee and sales n to Party B by cash or transfer according to Articles 4 and 5 of this agreement。The payment n of Party B is as follows:

Article 5 Sales Target and n
5.1 Sales Target
The sales target agreed upon by both parties is as follows: minimum sales of USD 30,000 per year。This sales amount is calculated based on the actual sales unit price and sales quantity.
5.1.1 If the cumulative sales do not reach the standard in Article 5.1.Party B will not charge a service n.

5.1.2 If the cumulative sales exceed the standard in Article 5.1.Party B will start charging a service n from the date of achieving this goal。The service n will be charged at a rate of 10% of the sales amount exceeding the sales target (USD 30,000).
5.1.3 The service n and sales amount shall be settled on the first working day of the following month。The exchange rate of USD to RMB shall be calculated based on the exchange rate on the settlement day。Within three (3) days after settlement。Party A shall remit the service n to Party B's designated public account。If Party A breaches the agreement。Party A shall be held liable according to Article 6 for breach of contract.
Article 6 Breach of Contract Liability
6.1 如果一方未能履行协议义务或违反约定中止履行协议义务，给另一方造成损失，那么该方应承担赔偿责任。
6.2 如果甲方的产品或品牌因侵权行为而在Amazon店铺中受到警告或被停止销售等行为，甲方应承担全部责任，如果给乙方造成损失，甲方还应承担赔偿责任。同时，甲方还应支付乙方已完成的销售额对应比例的服务佣金。
6.3 如果甲方因故延迟或拒绝支付相应的技术服务费、服务佣金、营销推广费用（节假日和特殊原因除外），那么乙方有权暂停提供甲方的运营服务。在甲方支付后，乙方将重新提供服务。如果暂停服务10天后甲方仍未支付，则乙方有权立即终止与甲方的合作协议。同时，甲方还应按照应付款的日万分之五支付违约金。由此造成的Amazon店铺可能涉及到的包括但不限于警告、客诉及被关闭等情形，甲方负全责。
6.4 如果因为产品质量问题、发货不及时、退换货不及时等原因导致客诉、店铺出现警告、被停止销售等情况，甲方负全责。同时，甲方还应支付乙方已完成的销售额对应比例的服务佣金。
6.5 如果甲方在与乙方合作期间未经授权擅自授权其他第三方或在Amazon平台上运营或销售其品牌产品，那么乙方有权要求甲方立即停止该违约行为，并赔偿乙方对应的销售额损失。如果甲方不停止或改正该违约行为，那么乙方有权单方终止本合作协议，并要求甲方支付人民币六万元的违约金。
第七条：有限责任
在任何情况下，甲、连接故障、电脑、通讯或其他系统故障、罢工、劳动争议、暴乱、起义、骚乱、电力故障、生产力或生产资料不足、火灾、洪水、风暴、爆炸、不可抗力、战争、政府行为、国际或国内法院的命令或第三方不作为而造成的不能服务或延迟服务承担责任。
第八条：协议的终止
8.1 如果协议期限届满，本协议终止。如果双方继续合作，必须重新签署新的合作协议，本协议不具有延续性。
8.2 除非一方违约，任何一方均不可在正常运作情况下单方提出解除本协议。否则，必须经过双方协商并同意后方能解除本协议。
第九条：不可抗力
根据合法性和可读性的原则，以下是修改后的文章：
协议双方中的任何一方，由于战争或严重的自然灾害（如水灾、火灾、台风和地震），以及双方同意的其他不可抗力事件而影响协议执行时，延长履行协议的期限，延长的期限相当于不可抗力事件所影响的时间。
在不可抗力事件发生后，受影响的一方应尽快以传真方式通知对方，并在七天内以航空挂号信件或中国邮政特快专递（EMS）将有关当局出具的证明文件提交给另一方进行确认。
争议的解决应通过友好协商解决。如果双方通过协商不能达成一致，则应提交乙方所在地的人民法院予以裁决。在争议的处理过程中，协议的其他部分将继续执行。本条款的效力不受协议终止的影响。
本协议只限中国境内有效。在执行本协议过程中，对本协议条款的任何变更、修改和增减或者增加相关附件，都必须经双方协商同意并签署书面文件，作为本协议的组成部分，与本协议具有同等效力。本协议签订生效后，协议内容即在甲方和乙方之间产生法律效力。甲方确认在本协议签订前已认真阅读本协议及附件所有内容，对本协议及附件载明的全部内容全部了解并完全接受。无论甲方事实上是否在签订前认真阅读了本协议及所有附件内容，只要甲方按照乙方合作流程成功开通网上销售平台并上线，甲方的行为仍然表示其同意并签署了本协议及所有附件。
本协议自甲、乙双方签字盖章后正式生效。正本一式两份，甲、乙双方各执一份，具有同等法律效力。本协议由双方于2017年月日在市签订。
